Terms of Service

    Last updated: February 2026

    1. Introduction

These Terms of Service ("Terms") govern your access to and use of the services provided by FourFourFive Limited, a company registered in Scotland ("we", "us", "our").

By creating an account or using any part of our Service, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

We may update these Terms from time to time. Where changes are material, we will notify you by email or by posting a prominent notice within the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

    2. Definitions

In these Terms, the following definitions apply:

    • "Service" means the FourFourFive platform, including the website, all Products, application programming interfaces, and any related documentation or support services.
    • "User" or "you" means any individual or entity that creates an account or uses the Service.
    • "Account" means the user account you create to access the Service.
    • "Products" means the individual tools, applications, and features available within the Service, whether free or paid.
    • "Subscription" means a paid arrangement granting access to a specific Product for a defined billing period.
    • "Xero Data" means any data accessed from or sent to your Xero account through the Service, including but not limited to transactions, contacts, invoices, journals, and account settings.
    • "Organisation" means a workspace within the Service that may include one or more Users as members.
    • "we", "us", or "our" means FourFourFive Limited, a company registered in Scotland.

    3. Account Registration and Security

To use the Service, you must create an Account. When registering, you agree to:

    • Provide accurate, current, and complete information during the registration process.
    • Maintain and promptly update your Account information to keep it accurate and complete.
    • Keep your login credentials secure and confidential. You are solely responsible for all activity that occurs under your Account.
    • Notify us immediately at team@445innovation.com if you become aware of any unauthorised access to or use of your Account.
    • Maintain only one Account per individual. Duplicate accounts may be suspended or removed.

You may also create an Account or sign in using Xero Single Sign-On (SSO). When using SSO, your Account is created using the email address and name associated with your Xero account. By using Xero SSO, you confirm that you are authorised to use the Xero account for authentication purposes.

You must be at least 16 years of age to create an Account and use the Service. By registering, you represent and warrant that you meet this age requirement.

We provide optional two-factor authentication (2FA) using authenticator apps. While not mandatory, we strongly recommend enabling 2FA for additional account security. You are responsible for maintaining access to your authenticator app. If you lose access, you may need to contact support to regain entry to your Account.

We reserve the right to suspend or terminate any Account that we reasonably believe has been compromised or is being used in violation of these Terms.

    4. Products and Services

The FourFourFive platform provides a suite of Products designed for accounting, bookkeeping, and business management. Products may be free to use or require a paid Subscription. The following Products are currently available:

    • Bank-Bridge - A banking data tool that helps users work with bank transaction data.
    • Recurring Spend for Xero - A Product that analyses Xero accounting data to identify and categorise recurring spend patterns, helping users understand their ongoing commitments and expenditure.
    • Timesheets to Xero - A Product that maps and transfers timesheet data into Xero, streamlining the process of recording time-based costs and billing.
    • HMRC Agent Helper - A Product providing tools for HMRC agents to manage client information and streamline interactions with HMRC services.
    • Purchase Order Importer - A Product that enables users to create purchase orders in Xero from CSV files, simplifying bulk purchase order entry.

We may add new Products, modify existing Products, or discontinue Products at any time. Where the discontinuation of a Product affects an active paid Subscription, we will provide reasonable notice and, where appropriate, a pro-rata refund for any remaining prepaid period.

Free Products may be subject to usage limits. We reserve the right to introduce, modify, or remove usage limits at our discretion, with reasonable notice to affected Users.

    5. Xero Integration

Several of our Products integrate with Xero, a third-party accounting platform. When you choose to connect your Xero account, the following terms apply:

    • Authorisation: You authorise access to your Xero data through the industry-standard OAuth 2.0 protocol. You will be redirected to Xero's login page, where you must provide explicit consent before any connection is established. We will never ask for your Xero password directly.
    • Scope of access: We request only the permissions (scopes) necessary to provide the features of the Products you use. These may include access to transactions, journals, contacts, account settings, and reports within your Xero organisation.
    • Organisation selection: You choose which Xero organisations to connect. We will only access data from the organisations you have explicitly authorised.
    • Revoking access: You may disconnect your Xero account at any time via Settings > Connections within the Service, or by revoking access directly from your Xero account settings. Upon disconnection, we will cease accessing your Xero data.
    • Data handling: Xero data is processed in accordance with our Privacy Policy. Transactional data retrieved from Xero is not persistently stored beyond what is necessary to provide the Service.

We are not responsible for the accuracy, completeness, or availability of data obtained from Xero. Our Products provide analysis, utilities, and data processing tools - they are not a substitute for professional accounting, tax, or financial advice. You should always verify the output of our tools and consult a qualified professional where appropriate.

You must comply with Xero's own terms of service when using Xero-integrated features of the Service. Any breach of Xero's terms that arises from your use of our Service is your sole responsibility.

    6. Subscriptions and Payment

Certain Products require an active paid Subscription. Each Product has its own Subscription plans, and you may hold separate Subscriptions for different Products.

    • Payment processing: All payments are processed securely by Stripe, a third-party payment processor. We do not store your full payment card details on our servers. Your use of Stripe is subject to Stripe's own terms of service and privacy policy.
    • Billing: Subscriptions are billed on a recurring basis (monthly or annually, depending on the plan selected). Your Subscription will automatically renew at the end of each billing period unless cancelled before the renewal date.
    • Cancellation: You may cancel your Subscription at any time via Settings > Billing within the Service. Upon cancellation, you will retain access to the paid Product until the end of your current billing period. No further charges will be made after cancellation.
    • Refunds: Refunds are not routinely offered. However, we will consider refund requests on a case-by-case basis. If you believe you are entitled to a refund, please contact us at team@445innovation.com.
    • Price changes: We may change Subscription pricing at any time. We will give you at least 30 days' notice of any price increase. The new price will apply from your next billing period after the notice period has elapsed. If you do not agree to a price change, you may cancel your Subscription before the new price takes effect.
    • Free Products: Products offered free of charge do not require payment. Free Products may have usage limits or reduced functionality compared to paid Products.

    7. Acceptable Use

You agree to use the Service responsibly and lawfully. You must not:

    • Use the Service for any purpose that is unlawful, fraudulent, or prohibited by these Terms.
    • Attempt to access, tamper with, or use areas of the Service, its systems, or data belonging to other Users without proper authorisation.
    • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Service.
    • Use automated means (including bots, scrapers, or crawlers) to access or interact with the Service without our prior written consent.
    • Introduce viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful.
    • Resell, redistribute, or sublicence access to the Service, or any part of it, without our prior written permission.
    • Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
    • Use the Service in a manner that could damage, disable, overburden, or impair any of our servers or networks.

When using Xero-integrated features, you must also comply with Xero's acceptable use policies and terms of service. A breach of this section may result in immediate suspension or termination of your Account.

    8. Intellectual Property

The Service, including all software, design, text, graphics, logos, icons, and other content, is owned by FourFourFive Limited and is protected by copyright, trade mark, and other intellectual property laws of the United Kingdom and international treaties.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business or personal purposes while your Account remains active. This licence does not include the right to modify, copy, distribute, sell, or create derivative works based on the Service.

You retain full ownership of any data you upload to or create within the Service ("Your Data"). By using the Service, you grant us a limited, non-exclusive licence to process, store, and transmit Your Data solely as necessary to provide and improve the Service. This licence terminates when your Account is deleted.

If you provide us with feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, royalty-free licence to use and incorporate such feedback without obligation to you.

    9. Data Protection

We take the protection of your personal data seriously. We process personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

Full details of how we collect, use, store, and protect your personal data - including Xero data - are set out in our Privacy Policy. The Privacy Policy forms part of these Terms.

We do not sell your personal data to third parties. Data is only shared with third-party service providers (such as Stripe for payment processing and Supabase for infrastructure) as necessary to deliver the Service, and always under appropriate contractual safeguards.

You have rights under data protection law, including the right to access, rectify, erase, and port your personal data. For details on exercising these rights, please refer to our Privacy Policy or contact us at team@445innovation.com.

    10. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory.

To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

Without limiting the foregoing, we do not warrant that:

    • The Service will be uninterrupted, timely, secure, or error-free.
    • The results, analysis, or recommendations generated by any Product will be accurate, complete, or reliable.
    • The Service will meet your specific requirements or expectations.
    • Any errors or defects in the Service will be corrected.

The Service is not a substitute for professional accounting, tax, financial, or legal advice. You are solely responsible for any decisions made based on the output of our Products. We strongly recommend that you consult qualified professionals before acting on any analysis or data provided by the Service.

    11. Limitation of Liability

To the fullest extent permitted by applicable law, our maximum aggregate liability to you for any and all claims arising out of or relating to these Terms or your use of the Service shall not exceed the total fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim.

To the fullest extent permitted by applicable law, we shall not be liable for any:

    • Indirect, incidental, special, consequential, or punitive damages.
    • Loss of profits, revenue, or business opportunity.
    • Loss of data or corruption of data.
    • Loss of goodwill or reputation.
    • Cost of procurement of substitute goods or services.
    • Any damages arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Nothing in these Terms excludes or limits our liability for:

    • Death or personal injury caused by our negligence.
    • Fraud or fraudulent misrepresentation.
    • Any other liability that cannot be excluded or limited under applicable law.

    12. Termination

You may terminate your Account at any time by deleting it via Settings > Profile within the Service. Upon Account deletion:

    • Your access to all Products will be immediately revoked.
    • Your personal data will be deleted in accordance with our Privacy Policy, including cascade deletion of associated records.
    • Any Xero connection tokens will be revoked, and we will cease accessing your Xero data.
    • If you have active paid Subscriptions, they will be cancelled at the end of the current billing period. You will not be charged further, but no pro-rata refund will be issued for the remaining portion of the billing period unless required by law.

We may suspend or terminate your Account if we reasonably believe you have breached these Terms. Where practicable, we will provide you with notice and an opportunity to remedy the breach before termination. In cases of serious or repeated breaches, we may terminate your Account immediately without notice.

Sections of these Terms that by their nature should survive termination (including Intellectual Property, Limitation of Liability, and Governing Law) will continue to apply after your Account is terminated.

    13. Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Scotland.

The courts of Scotland shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
